Please read these terms carefully. By accessing or using our services, you agree to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the services and must discontinue use immediately.

These Terms of Use ("Legal Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Confynix Technologies (OPC) Private Limited ("Company", "we", "us", or "our"), concerning your access to and use of our website, software, applications, IT services, consulting services, digital services, manpower consultancy services, and related products (collectively, the "Services"). Supplemental policies posted through the Services are incorporated into these Legal Terms by reference. We may modify these terms at any time; continued use after changes are posted constitutes acceptance. We recommend retaining a copy for your records.

01 Our services

Confynix Technologies provides technology, IT, digital consulting, software, and manpower consultancy services, including IT support, software and website development, cloud services, cybersecurity, IT consulting, software support, technical support, infrastructure-related services, and recruitment-related manpower consultancy.

Specific scope, pricing, deliverables, timelines, and service levels for a particular engagement may be set out in a separate quotation, proposal, statement of work, or service agreement, which may include additional terms governing that service.

Information provided through the Services is for general informational and business purposes; we do not guarantee it is always complete, current, or error-free. Services may not be available in every jurisdiction, and users accessing them from outside India are responsible for compliance with their local laws.

02 Intellectual property rights

Our intellectual property

Confynix Technologies owns or holds the necessary rights to the intellectual property in the Services, including source code, software, designs, documentation, text, graphics, logos, and trademarks (collectively, the "Content" and "Marks"). This material is provided "as is" for your personal, non-commercial use or legitimate internal business purposes.

Your use of our services

Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services, and to download or print reasonable copies of content you've properly accessed for personal or legitimate internal business use.

Except as expressly permitted, you may not copy, modify, republish, distribute, sell, license, reverse engineer, or create derivative works from the Services or Content, or remove proprietary notices. Any use beyond these rights requires our prior written permission. All rights not expressly granted are reserved.

Your submissions

If you send us questions, suggestions, feedback, or ideas about the Services, you agree we may use them for lawful business purposes, and you confirm you have the rights to provide them and that they do not infringe third-party rights or contain unlawful or confidential content.

03 User representations

By accessing or using the Services, you represent and warrant that you have the legal capacity to enter these Legal Terms, will comply with them, are not a minor where prohibited by applicable law, will not use the Services for an unlawful purpose, and that information you provide us is accurate, complete, and kept up to date. You also confirm you will not access the Services through unauthorised automated means and that your use will comply with all applicable laws.

If you provide information that is untrue, inaccurate, or misleading, we may suspend or terminate your access.

04 Prohibited activities

You may not access or use the Services for any purpose other than the one for which we make them available. You agree not to:

  • Systematically scrape or harvest data to build a database or collection without written permission
  • Attempt to obtain passwords, credentials, or sensitive information belonging to others
  • Circumvent, disable, or interfere with security-related features
  • Harass, abuse, threaten, or defame another person
  • Submit false reports or misuse our support or complaint procedures
  • Upload viruses, malware, ransomware, or other harmful code
  • Overload, disrupt, or burden our servers, networks, or infrastructure
  • Use bots, crawlers, or automated data-mining tools without authorisation
  • Reverse engineer, decompile, or attempt to discover the Services' source code
  • Impersonate another person, company, or user, or create accounts with false information
  • Use information from the Services to send unsolicited communications or spam
  • Attempt unauthorised access to accounts, systems, or databases
  • Use the Services to compete with us through unauthorised copying or extraction of our Content
  • Engage in any activity that may damage, disable, or impair the Services

05 User generated contributions

The Services may allow you to submit content, documents, files, or feedback ("Contributions"). You are solely responsible for your Contributions and warrant that you own or have the rights to submit them, that they don't infringe third-party rights, aren't unlawful, defamatory, or fraudulent, and don't contain unauthorised confidential information or malicious code.

We reserve the right, but not the obligation, to review, remove, or restrict contributions that we believe violate these terms or applicable law.

06 Contribution licence

You retain ownership of your Contributions. By submitting them, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and use them as reasonably necessary to provide, operate, and improve the Services. Feedback and suggestions may be used by us for product development without compensation. We do not claim ownership of your Contributions merely by their submission.

07 Services management

We reserve the right, but not the obligation, to monitor the Services for violations, investigate suspected breaches, take legal action where warranted, restrict or terminate access, remove content, and otherwise manage the Services to protect our rights, users, and infrastructure. We are not required to monitor every activity or piece of content.

08 Term and termination

These Legal Terms remain in effect while you access or use the Services. We may suspend, restrict, or terminate your access, without prior notice where permitted by law, if we reasonably believe you have violated these terms or applicable law, engaged in fraudulent or harmful conduct, or created a security risk.

Upon termination, your right to use the Services ceases immediately, and you may not create another account to circumvent that termination. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will continue to apply.

09 Modifications and interruptions

We may modify, update, suspend, or discontinue the Services, or change features, pricing, or availability, at any time without prior notice where permitted by law. We do not guarantee the Services will always be available, uninterrupted, or error-free — outages may result from maintenance, technical failures, cybersecurity incidents, or events beyond our control. We are not liable for losses arising from such interruptions to the maximum extent permitted by law.

10 Governing law

These Legal Terms are governed by and interpreted in accordance with the laws of India. Subject to the arbitration provisions below, the courts having jurisdiction in Howrah, West Bengal, India, shall have jurisdiction over disputes arising from these terms.

11 Dispute resolution

Informal negotiations

Before initiating formal proceedings, both parties will attempt in good faith to resolve any dispute through informal negotiations for at least 30 days from written notice, except where urgent injunctive relief is necessary.

Binding arbitration

Unresolved disputes will be finally settled through binding arbitration by a sole arbitrator, mutually agreed or appointed per applicable Indian arbitration law. The seat of arbitration is Howrah, West Bengal, India, conducted in English under Indian law, with a final and binding award.

Restrictions and exceptions

Arbitration is limited to individual disputes and will not be consolidated or brought as a class or representative action where legally restrictable. Disputes concerning intellectual property enforcement, unauthorised system access, privacy invasion, or urgent injunctive relief may be excluded from arbitration and brought before the competent courts in Howrah, West Bengal.

12 Corrections

Information available through the Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct, update, or remove such information at any time without prior notice, without an obligation to update every item.

13 Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFYNIX TECHNOLOGIES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR THE ACTIONS, PRODUCTS, OR CONTENT OF THIRD PARTIES ACCESSIBLE THROUGH THE SERVICES, AND YOU SHOULD EXERCISE APPROPRIATE JUDGEMENT WHEN DEALING WITH THIRD-PARTY PROVIDERS.

14 Limitations of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONFYNIX TECHNOLOGIES AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE LESSER OF THE AMOUNT YOU PAID US FOR THE RELEVANT SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR THE MAXIMUM AMOUNT PERMITTED BY APPLICABLE LAW. NOTHING HERE LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED.

15 Indemnification

You agree to defend, indemnify, and hold harmless Confynix Technologies and its affiliates, directors, officers, employees, and agents from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these terms or applicable law, your Contributions, or your infringement of third-party rights. We may assume exclusive defence of any matter subject to indemnification, and you agree to cooperate with that defence.

16 User data

We collect, process, and store information relating to your use of the Services in accordance with our Privacy Policy and applicable law. You are responsible for maintaining backups of important data you transmit through the Services. While we perform routine backups and reasonable safeguards, we do not guarantee your data will never be lost, corrupted, or unavailable, and are not liable for such loss resulting from circumstances beyond our reasonable control.

17 Electronic communications, transactions, and signatures

Visiting our Services, emailing us, or submitting forms constitutes electronic communication, and you consent to receive communications from us electronically. You agree that electronic agreements, notices, invoices, and records satisfy any legal requirement for written communication, and consent to the use of electronic signatures, contracts, and records as evidence of transactions between you and Confynix Technologies, subject to applicable law.

18 Miscellaneous

These Legal Terms, together with our Privacy Policy and any posted policies, constitute the entire agreement between you and Confynix Technologies, except where a separate written agreement governs a particular service. Our failure to enforce any provision does not waive that right.

We may assign our rights under these terms in connection with a merger, acquisition, or business transaction; you may not assign your rights without our prior written consent. We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government action, or third-party service failures.

If any provision is found unlawful or unenforceable, it will be modified or severed to the minimum extent necessary, with the remaining provisions staying in effect. Nothing in these terms creates a partnership, employment, agency, or franchise relationship, and these terms will not be construed against Confynix Technologies merely because we drafted them.

These terms may be accepted electronically, and a physical signature is not required unless otherwise required by applicable law.
